6. Respectful and Transparent Business Practices

ELLIXON Bio is committed to treating customers, researchers, suppliers, employees, contractors, and professional partners with dignity and respect.

We aim to:

• Communicate policies clearly;
• Address legitimate concerns in good faith;
• Correct material errors when identified;
• Protect confidential and personal information appropriately;
• Avoid deceptive or coercive business practices;
• Maintain accurate business records; and
• Apply compliance standards consistently.

No customer, supplier, employee, or other individual may be retaliated against for raising a legitimate quality, safety, legal, ethical, or compliance concern in good faith.

7. Customer Responsibility

Customers share responsibility for maintaining a lawful and ethical research environment.

By purchasing from or interacting with ELLIXON Bio, each customer is expected to:

• Review product labels and applicable policies before purchase or use;
• Provide accurate account and transaction information;
• Purchase only for a lawful and permitted purpose;
• Maintain appropriate facilities, training, supervision, and safeguards;
• Follow applicable storage, handling, disposal, transportation, and recordkeeping requirements;

8. Restricted and Prohibited Conduct

ELLIXON Bio does not knowingly support unlawful, deceptive, unsafe, or unauthorized use of its products or services.

The company may refuse, place on hold, cancel, restrict, or investigate an order or account when information suggests:

• False, incomplete, or misleading customer information;
• Suspected fraud, diversion, misuse, or unlawful resale;

10. Reporting a Concern

11. Relationship to Other ELLIXON Bio Policies

This Charter should be read together with ELLIXON Bio’s other applicable terms, policies, purchase acknowledgments, product notices, account agreements, and commercial contracts.

Where a signed written agreement contains terms that directly conflict with this Charter, the signed agreement will generally control for the specific transaction or relationship it governs.

This Charter does not create an employment relationship, partnership, fiduciary duty, professional relationship, third-party beneficiary right, or independent contractual remedy unless expressly stated in a separate written agreement.

ELLIXON Bio distributes products intended for scientific, laboratory, analytical, educational, and other lawful research applications, as expressly identified by the applicable product labeling, product documentation, and accompanying policies.

Unless ELLIXON Bio expressly states otherwise in writing, products designated as Research Use Only (“RUO”), Laboratory Use Only, or bearing similar research-use designations are offered solely for their stated research purpose and are not represented, marketed, or sold for any other application.

Customers acknowledge and agree that they are solely responsible for understanding the intended use, handling requirements, storage conditions, and applicable legal or regulatory obligations associated with any product purchased from ELLIXON Bio.

Customer Representations

By placing an order with ELLIXON Bio, the customer represents, warrants, and agrees that:

• They have reviewed the applicable product information before purchase.
• They possess the knowledge, training, or professional resources necessary to lawfully acquire, store, handle, and utilize the products ordered.
• They will use products only in accordance with their stated intended purpose and all applicable laws and regulations.
• They understand that product information, educational materials, technical references, research summaries, and website content are provided for informational purposes only and should not be interpreted as medical advice, clinical guidance, prescribing information, or recommendations for any particular application.
• They will independently evaluate whether a product is appropriate for their intended lawful research activity.

Research Use Only Products

For products identified by ELLIXON Bio as Research Use Only (RUO) or similarly designated research materials, the customer further acknowledges that such products are not offered, promoted, or intended for:

• Human consumption or administration;
• Veterinary consumption or administration;
• Diagnosis, treatment, cure, mitigation, or prevention of disease;
• Clinical or therapeutic use;
• Pharmacy compounding or prescription dispensing;
• Food, dietary supplement, cosmetic, or household use;
• Recreational or unlawful purposes; or
• Any use inconsistent with applicable law or the product’s stated intended purpose.

ELLIXON Bio reserves the right to refuse, suspend, or terminate transactions when it reasonably believes products may be acquired for an unauthorized, unlawful, or prohibited use.

Scientific Information

ELLIXON Bio may provide educational resources, technical literature, references to published scientific studies, product specifications, mechanism summaries, or other research-related information to assist customers in understanding the scientific context of products offered.

Such information is provided solely for educational and informational purposes and should not be interpreted as evidence that any product has been approved by a governmental authority for any particular use, demonstrated to be safe or effective for a particular application, or authorized for human or veterinary use.

Product Availability

ELLIXON Bio reserves the right to modify, discontinue, substitute, limit, reclassify, or remove any product, product description, specification, packaging, documentation, pricing, or availability at any time without prior notice.

Publication of a product on the ELLIXON Bio website does not guarantee current availability or future availability.

Customer Responsibility

Customers assume full responsibility for ensuring that products purchased from ELLIXON Bio are handled, transported, stored, documented, and used in accordance with applicable laws, regulations, institutional requirements, safety standards, and the product’s stated intended purpose.

ELLIXON Bio does not supervise, direct, or control the customer’s activities following delivery of a product and disclaims responsibility for any use that is inconsistent with product labeling, company policy, applicable law, or written instructions provided by ELLIXON Bio.

This Policy explains the conditions under which Research Use Only (“RUO”) products are offered and the responsibilities accepted by customers when purchasing or accessing such products.

This Policy forms an integral part of ELLIXON Bio’s Terms of Service and applies to every purchase, inquiry, quotation, account, and transaction involving products designated as Research Use Only.

Understanding Research Use Only

Products designated by ELLIXON Bio as Research Use Only (RUO) are offered exclusively for legitimate research, analytical, laboratory, educational, or scientific investigation consistent with their labeling and applicable law.

Unless expressly identified otherwise by ELLIXON Bio in writing, RUO products are not represented, marketed, or sold as products intended for:

• Human administration.
• Veterinary administration.
• Clinical investigation sponsored by ELLIXON Bio.
• Diagnosis of disease.
• Treatment of disease.
• Cure of disease.
• Mitigation of disease.
• Prevention of disease.
• Prescription use.
• Pharmacy compounding.
• Consumer use.
• Dietary supplement use.
• Cosmetic use.
• Food use.
• Recreational use.
• Any unlawful purpose.

Customer Certification

By purchasing, requesting information about, or receiving an RUO product, each customer certifies that:

• They understand the product’s stated intended purpose.
• They have independently determined that the product is appropriate for their lawful activities.
• They possess the necessary knowledge or professional resources to properly store, handle, and evaluate the product.
• They will comply with all applicable laws and regulations governing their activities.
• They will not knowingly use, transfer, market, relabel, or distribute the product in a manner inconsistent with its intended purpose.

Customers further acknowledge that ELLIXON Bio does not supervise or control the customer’s research activities after delivery.

No Medical or Clinical Representations

ELLIXON Bio does not provide medical advice, treatment recommendations, prescribing information, dosage guidance, or clinical instructions.

Any scientific information made available through the ELLIXON Bio website, catalogs, technical literature, educational materials, customer support, or publicly available research references is provided solely for educational and informational purposes.

References to biological pathways, receptors, mechanisms of action, molecular interactions, published studies, or areas of scientific investigation should not be interpreted as statements regarding safety, effectiveness, clinical utility, regulatory approval, or intended human or veterinary use.

Customer Responsibility After Delivery

Upon delivery, customers assume responsibility for:

• Proper storage.
• Appropriate handling.
• Inventory control.
• Laboratory safety practices.
• Compliance with institutional policies.
• Compliance with applicable governmental requirements.
• Protection against diversion or misuse.
• Appropriate disposal.

ELLIXON Bio has no ability to monitor or control activities occurring after products leave our possession.

Right to Decline or Suspend Transactions

ELLIXON Bio reserves the right to refuse quotations, reject orders, suspend shipments, request additional information, terminate customer accounts, or discontinue business relationships whenever we reasonably believe a transaction may:

• Conflict with this Policy.
• Conflict with applicable law.
• Create an unacceptable compliance risk.
• Involve inaccurate customer information.
• Suggest potential diversion or misuse.
• Threaten product integrity.
• Expose ELLIXON Bio to unreasonable legal, financial, operational, or reputational risk.

Nothing in this Policy obligates ELLIXON Bio to complete any transaction solely because payment was attempted or an order was submitted.

Product Specifications

Product descriptions, specifications, concentration information, molecular weights, package sizes, analytical summaries, photographs, diagrams, technical data, and other published information are provided to assist customers in identifying products and understanding available scientific information.

ELLIXON Bio reserves the right to update, revise, clarify, correct, or modify product specifications and documentation at any time without prior notice when new information becomes available, supplier information changes, manufacturing processes evolve, typographical errors are identified, or additional scientific data becomes available.

Scientific Literature & Educational Resources

ELLIXON Bio may reference scientific publications, research articles, educational summaries, technical discussions, or publicly available scientific information to assist customers in understanding areas of ongoing scientific investigation.

Such references are provided solely for informational and educational purposes.

Citation of scientific literature should not be interpreted as an endorsement of any conclusion contained within the publication, nor does it establish regulatory approval, product efficacy, safety, suitability for any particular application, or intended use beyond that expressly stated by ELLIXON Bio.

Product Images & Website Content

Photographs, renderings, packaging images, diagrams, illustrations, product labels, and website graphics are intended for general informational purposes.

Actual products, packaging, labeling, colors, lot information, documentation, and appearance may vary without affecting the identity or intended classification of the product.

Customer Verification

Questions regarding product identity, documentation, shipping condition, or available quality records should be submitted to ELLIXON Bio as soon as reasonably possible following delivery so that appropriate review may be conducted.

Overview

ELLIXON Bio strives to provide accurate product information, fair pricing, and efficient order processing. All orders submitted through our website, customer service team, sales representatives, or other authorized sales channels remain subject to review, verification, product availability, payment approval, and acceptance by ELLIXON Bio.

Submission of an order request does not obligate ELLIXON Bio to accept or fulfill that order.

Pricing

ELLIXON Bio reserves the right to:

• Decline transactions resulting from obvious pricing mistakes.

If an order is cancelled because of a pricing error after payment has been received, ELLIXON Bio will refund the amount actually collected through the original payment method unless otherwise agreed.

Payment Authorization

Payment authorization does not constitute acceptance of an order.

Authorization simply confirms that the selected payment method has been approved by the payment processor.

ELLIXON Bio reserves the right to perform additional verification before accepting any transaction.

Order Acceptance

A binding sales agreement is formed only when ELLIXON Bio accepts the order and initiates shipment of the applicable products, unless otherwise agreed in writing.

Order confirmations, automated emails, invoices, payment receipts, or website acknowledgments are provided solely to confirm receipt of an order request and should not be interpreted as final acceptance.

Verification & Fraud Prevention

To protect customers and maintain compliance, ELLIXON Bio may request additional information before processing an order.

Verification may include confirmation of:

• Customer identity.
• Billing information.
• Shipping information.
• Intended purchase purpose.
• Business status.
• Payment authorization.
• Regulatory eligibility.
• Other information reasonably necessary to evaluate a transaction.

ELLIXON Bio may delay or decline shipment until requested verification has been completed.

Quantity Limitations

ELLIXON Bio reserves the right to establish purchase limits for any product.

Quantity limitations may be imposed to:

Order Cancellation

ELLIXON Bio may cancel or suspend any order before shipment when, in its reasonable judgment:

• Export or shipping restrictions apply.

If payment has already been collected for a cancelled order, ELLIXON Bio will generally issue an appropriate refund through the original payment method unless another resolution is mutually agreed upon.

Customer Requests

Customers requesting changes or cancellation of an order should contact ELLIXON Bio promptly.

Although we will make reasonable efforts to accommodate requests received before shipment, modifications cannot be guaranteed once order processing has begun.

Once an order has been transferred for fulfillment or shipment, changes may no longer be possible.

Reservation of Rights

ELLIXON Bio reserves all rights available under applicable law to investigate suspicious activity, refuse service, decline transactions, limit purchases, recover amounts owed, cooperate with lawful governmental requests, and take reasonable actions necessary to protect the company, its customers, its suppliers, and the integrity of its business operations.

Nothing contained in these Terms limits any additional rights or remedies available to ELLIXON Bio under applicable law or separate written agreement.

Our Shipping Commitment

ELLIXON Bio is committed to packaging and shipping products in a manner appropriate for their characteristics, storage recommendations, and applicable transportation requirements.

Where available, customers may elect expedited shipping, signature confirmation, or other delivery options that better suit the handling requirements of temperature-sensitive products.

If a shipment arrives with evidence of damage, tampering, or another issue that appears to have occurred during transit before delivery, customers should notify ELLIXON Bio as soon as reasonably possible and provide photographs or other supporting documentation so the matter can be reviewed.

To the fullest extent permitted by applicable law, each customer agrees to defend, indemnify, and hold harmless ELLIXON Bio, its parent companies, subsidiaries, affiliated entities, members, managers, officers, directors, employees, contractors, consultants, representatives, suppliers, manufacturers, successors, and assigns (collectively, the “ELLIXON Bio Protected Parties”) from and against any claims, demands, actions, proceedings, investigations, liabilities, judgments, settlements, damages, losses, fines, penalties, costs, and expenses, including reasonable attorneys’ fees and litigation expenses, arising out of or relating to:

• The customer’s purchase, possession, storage, transportation, handling, use, resale, transfer, distribution, marketing, disposal, or other disposition of ELLIXON Bio products.
• Any violation of these Terms of Service or any other ELLIXON Bio policy.
• Violation of the Research Use Only (RUO) Policy.
• Misrepresentation regarding intended use or customer qualifications.
• Failure to comply with applicable laws, regulations, or governmental requirements.
• Product modification, relabeling, repackaging, adulteration, dilution, or alteration after delivery.
• Removal or alteration of labels, lot numbers, QR codes, Certificates of Analysis, or other identifying information.
• Unauthorized advertising or marketing.
• Medical, therapeutic, dosing, efficacy, disease, or safety claims made by the customer or any third party acting on the customer’s behalf.
• Unauthorized export, resale, redistribution, or diversion of products.
• Negligent, reckless, intentional, or unlawful acts or omissions by the customer or persons acting under the customer’s direction or control.

Third-Party Claims

The customer’s indemnification obligations include claims asserted by:

• Government agencies.
• Regulatory authorities.
• Consumers.
• Research institutions.
• Laboratories.
• Employees.
• Contractors.
• Business partners.
• Payment processors.
• Shipping carriers.
• Insurance providers.
• Other third parties whose claims arise from the customer’s conduct relating to ELLIXON Bio products or services.

Unauthorized Product Changes

ELLIXON Bio shall have no responsibility for products that have been:

• Repackaged.
• Relabeled.
• Combined with other products.
• Reformulated.
• Diluted.
• Divided into smaller quantities.
• Modified in any manner.
• Stored contrary to published recommendations.
• Marketed using unauthorized descriptions or claims.

The customer assumes all responsibility arising from such activities and agrees to indemnify the ELLIXON Bio Protected Parties against resulting claims, losses, liabilities, damages, and expenses.

Authorized Distributors

Authorized distributors, wholesalers, resellers, and other commercial partners remain responsible for ensuring that their employees, representatives, affiliates, downstream customers, marketing agencies, and contractors comply with applicable law, written agreements, and ELLIXON Bio policies.

Authorized partners agree to indemnify the ELLIXON Bio Protected Parties for claims arising from their own marketing, labeling, representations, sales practices, distribution activities, or failure to comply with applicable contractual obligations.

Defense of Claims

ELLIXON Bio reserves the right, at its option, to assume control of the defense of any matter subject to indemnification under this Section.

Customers agree to cooperate reasonably with ELLIXON Bio in the investigation, defense, and resolution of such matters, including providing relevant records, communications, documentation, and other information reasonably requested.

Nothing in this Section prevents ELLIXON Bio from selecting its own legal counsel or protecting its own interests where appropriate.

Survival

The obligations contained in this Section survive completion of any transaction, delivery of products, termination of an account, expiration of these Terms, and the end of any business relationship between the customer and ELLIXON Bio.

Maximum Enforceability

This Section shall be interpreted and enforced to the fullest extent permitted by applicable law. If any provision is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

Ownership of Intellectual Property

Unless otherwise expressly stated in writing, all intellectual property associated with ELLIXON Bio is and shall remain the exclusive property of ELLIXON Bio or its licensors.

This includes, without limitation:

• Company names.
• Trade names.
• Trademarks.
• Service marks.
• Logos.
• Product names.
• Brand identities.
• Product photography.
• Catalogs.
• Research guides.
• Educational materials.
• Website design.
• Website content.
• Graphics.
• Videos.
• Documents.
• Certificates of Analysis.
• Product labels.
• Packaging designs.
• QR code systems.
• Databases.
• Software.
• Written content.
• Marketing materials.
• Trade dress.
• Proprietary business methods.
• Other intellectual property, whether registered or unregistered.

Nothing contained within these Terms transfers ownership of any intellectual property to any customer or third party.

Limited License

ELLIXON Bio grants customers a limited, non-exclusive, non-transferable, revocable license to access and use the website and materials solely for lawful business with ELLIXON Bio.

No other rights are granted unless expressly authorized in writing.

Prohibited Uses

Without prior written authorization from ELLIXON Bio, customers may not:

• Required compliance language, disclaimers, and Research Use Only statements may not be removed.
• ELLIXON Bio may withdraw or replace marketing materials at any time.

Feedback & Suggestions

ELLIXON Bio appreciates customer comments, suggestions, and ideas regarding products, services, and operations.

Unless otherwise agreed in writing, any voluntary suggestions or feedback submitted to ELLIXON Bio may be used by the company without obligation to compensate the submitting party, provided such use complies with applicable law.

This provision does not transfer ownership of independently protected intellectual property that clearly belongs to the submitting party.

Monitoring & Enforcement

ELLIXON Bio reserves the right to investigate suspected misuse of its intellectual property, branding, marketing materials, or copyrighted works.

These Terms and any dispute arising from or relating to ELLIXON Bio, its website, products, services, policies, or business relationship with the customer shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles, except to the extent superseded by applicable federal law or other non-waivable legal requirements.

Venue

Unless otherwise required by applicable law, any legal action arising out of or relating to these Terms shall be brought exclusively in the appropriate state or federal courts located in Broward County, Florida, or another court of competent jurisdiction serving that location.

Each party consents to the personal jurisdiction and venue of those courts and waives any objection based upon inconvenient forum to the extent permitted by law.

Time to Bring Claims

To the fullest extent permitted by applicable law, any claim arising out of or relating to ELLIXON Bio, its products, services, or these Terms must be commenced within one (1) year after the claim arises or such longer period as may be required by applicable law.

Claims not brought within the applicable period shall be forever barred to the extent permitted by law.

Continued Performance

This Section survives termination of customer accounts, completion of transactions, expiration of these Terms, and the conclusion of any business relationship with ELLIXON Bio.

Events Beyond Our Reasonable Control

ELLIXON Bio shall not be responsible or liable for any delay, interruption, suspension, or failure to perform any obligation under these Terms to the extent such delay or failure results from events beyond ELLIXON Bio’s reasonable control.

Such events may include, without limitation:

No Breach

Nothing in this Section limits any rights or remedies otherwise available under applicable law.

Entire Agreement

These Terms of Service, together with all policies, notices, acknowledgments, and agreements expressly incorporated by reference, constitute the complete understanding between ELLIXON Bio and the customer regarding the subject matter addressed herein and supersede all prior or contemporaneous communications, discussions, representations, understandings, or agreements relating to the same subject matter, except where a separate written agreement signed by both parties expressly provides otherwise.

Order of Precedence

In the event of any conflict between these Terms and a separate written agreement executed by an authorized representative of ELLIXON Bio, the signed written agreement shall control solely with respect to the specific transaction or relationship covered by that agreement.

All other ELLIXON Bio policies shall remain in effect unless expressly modified in writing.

Severability

If any provision of these Terms is determined by a court or tribunal of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified or interpreted only to the extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall remain in full force and effect.

No Waiver
